MOTORCYCLING NSW LIMITED ANNUAL GENERAL MEETING NOTICE
Notice is hereby given of the Annual General Meeting (AGM) of Motorcycling NSW Limited, which will be held under the conditions of the MNSW Constitution – Annual General Meeting 12.1, in the Murray Room at Sports House Quad 1, Level 2, 8 Parkview Drive, Sydney Olympic Park NSW and via Microsoft Teams on Thursday 22nd May 2025 at 7.00pm.

Please see below the draft agenda for the 2024 Motorcycling NSW Limited Annual General Meeting. The final meeting agenda and other business will be distributed at least 21 days prior (Thursday 1st May 2025).
Any additional business a Club Delegate or Life Member wishes to raise at the General Meeting and/or any *Proposed Notices of Motion regarding ‘amendments’ to the Motorcycling NSW Limited Constitution (Notice of Motion Form – Attachment 1) and any agenda items must be addressed to the Motorcycling NSW CEO and be received not less than 28 days prior (Thursday 24th April 2025).

Prior to the Annual General Meeting (1st May, 2025), the following will be presented to the Company’s Members:
- MNSW Annual General Meeting Final Agenda
- MNSW 2024 Annual Report
- MNSW 2024 Audited Financial Statements
- Proposed 2026 Affiliation Fees.
DIRECTOR NOMINATIONS
The following Director positions will become retired at the 2024 Annual General Meeting;
- Director Madeleine Bowditch (Elected December 2021)
The eligibility for Directorship with Motorcycling NSW Limited can be sighted within the MNSW Constitution and in particular clause 16.2 Qualifications.

Delegates either attending in person or virtually must complete the following form by no later than 5pm Thursday 1st May, 2025.

N.B All registered delegates will be verified by MNSW
Corporations Act Change-Hybrid Meeting
Due to Permanent amendments to the Corporations Act, it now allows hybrid meetings to be held for all companies and registered schemes, effective 1 April 2023. Under the Corporations Act, a member who attends the meeting virtually is taken for all purposes to be present at the meeting.
MNSW members’ Voting rights
- At a General Meeting, on a show of hands and on a poll, each Voting Member shall have one vote. A Voting Member’s vote will be exercised by its appointed, authorised representative.
- No Members other than Voting Members are entitled to vote at General Meetings.

The meeting will be held in the Murray Room at Sports House Quad 1, Level 2, 8 Parkview Drive, Sydney Olympic Park NSW on Thursday 22nd May 2025 at 7.00pm.
