MOTORCYCLING NSW BOARD OF DIRECTORS CALL FOR NOMINATIONS
Motorcycling NSW (MNSW) is the peak body for Motorcycling in New South Wales and the Australian Capital Territory and is affiliated with Motorcycling Australia.
MNSW is recognised by the NSW Government and relevant agencies within New South Wales as the governing body for Motorcycling sport and recreation within the State.

It is important to understand that a board is not a management committee. The details of the day-to-day operation of the business are the responsibility of the CEO and their team. The board has a different and separate role in Governance, which sets the parameters within which the CEO operates.
Composition of the MNSW Board:
- Up to 5 elected Directors.
- Up to 2 independent non-elected directors who may be appointed by the elected directors, under processes outlined in the MNSW Bylaws.
- Each elected director must be a member of MNSW at the time of their nomination for election and must maintain that membership throughout the director’s term of the MNSW Board.

Key Responsibilities
The Board of Directors is responsible for the proper governance of MNSW and its strategic development and growth. The Board has final responsibility for the governance of the organisation. In doing so it strives to achieve best practice principles.
The key roles of the Board of Directors of MNSW include:
- Appointing and managing the performance of CEO
- Formulating and implementing goals and strategic direction
- Determining policies relevant to the governance and performance management of the business
- Establishing and determining the function of Committees
- Approving the budget and all major items of capital expenditure
- Ensuring compliance with legal requirements
- Ensuring the financial viability of the organisation
N.B the Board meets via videoconference and in person several times per year for Board meetings and other activities. MNSW expects Board members to be available and actively participate in all Board related activities.

Demonstrated Skills & Knowledge
In alignment with the Sport Australia Governance principles, Directors should have demonstrated experience in one or more of the following disciplines:
- Leadership capabilities
- Strategic, business, and financial management
- Risk management, corporate governance, and integrity
- Sporting organisations (motorcycling or other)
- Legal
- Accounting and/or auditing (preferred CFO or Audit Committee experience)
- Information System development and implementation.
- Commercial development (including corporate sponsorship, fundraising, high net worth philanthropy)
- Government partnerships
- Business transformation and commercial program participation development, including brand recognition, corporate responsibilities, development, and marketing.
- Media management and public relations.
Additionally, applicants with experience across any of the following areas will be highly regarded;
- Tertiary qualification or extensive experience in law, finance, business, management.
- Understanding of sport and recreation industry
- Demonstrated high level financial literacy
- Understanding of the Australia sports system
- Sports law and accounting
- IT systems development and implementation

Remuneration
MNSW is a not-for-profit State Sporting Organisation, and all Director positions are voluntary. Reimbursement for any expenses performing the role of Director is applicable when aligned with the MNSW Reimbursement Policy.
Nomination Form
The nomination form requires nominees to;
- Submit in writing their personal details,
- Attach a one-page document (max), outlining the nominees’ credentials and personal overview on directorship with MNSW.
- Confirm their eligibility in holding a company director’s role under the Corporations Act 2001 (Cth).
- Confirm that they are eligible and comply with clause 16.2 of the MNSW Constitution
- Additionally, as per clause 17.2 of the MNSW Constitution
The Nominations must be:
(a) in writing on the prescribed form (if any);
(b) signed by a Life Member or an authorised representative of a Club;
(c) certified by the nominee expressing their willingness to accept the position for which they are nominated;
