NOTICE is hereby given that a Special General Meeting of Motorcycling NSW Limited (the “Company”) will be held in person at Blacktown Workers Club, 55 Campbell St, Blacktown NSW 2148 and also via Microsoft Teams on 9 February 2023 commencing at 7.00pm AEDT.

During this meeting, the Company will discuss the business of the meeting with the delegates in person as well as online.

- Notice of motion
To consider and if thought fit, pass the following resolution as a special resolution:
THAT the Constitution of Motorcycling NSW Limited (ACN 096 875 526) be replaced with the version contained in the “2023 MNSW Proposed Constitution” link in this Notice, with effect from the close of the Special General Meeting.

MEETING ATTENDANCE
As per clause 7.5.2 of the MNSW Constitution, ‘In any ballot conducted by the MNSW board under clause 13 or election by ballot conducted under clause 14, each MNSW affiliated club and life member may register one vote’. Acknowledging these voting rights, each financial affiliated member club will need to register their voting delegate (and observers) through the registration form by no later than 5.00pm Tuesday 7th February 2023. Life Members are required to register at the below link to receive their voting code.

ENTITLEMENT TO VOTE
Clubs eligible to vote at the Meeting are those who are fully paid affiliated members of the Company as at 5.00pm Thursday 2 February 2023 (Entitlement Time), subject to any applicable voting exclusion under the MNSW Constitution.
This means that if you are not a fully paid member at the Entitlement Time, you will not be entitled to vote at the Meeting.

VOTING OPTIONS AND PROXIES
Due to the scope of the organisation and hybrid nature of the meeting, delegate voting will occur through the utilisation of the online voting platform Election Runner. Only registered Delegates and Life Members will receive the email and secure unique codes to submit their vote once it is declared open by the chair during this meeting.
To submit their vote, delegates and Life Members will need access to their email account and internet access at the time voting opens. Should a delegate or Life Member have difficulty in person at Blacktown Workers Club, the MNSW staff will be able to assist with that person casting their vote.
In accordance with clause 12.3 of the Constitution, a member is entitled to appoint a person as their proxy, who need not be a member. The proxy form is available from the Company by request to dr@motorcycling.com.au and a completed copy must be provided to the Company no later than 48 hours prior to the commencement of the Meeting.
